Terms of Service.

These Terms of Service ("Terms") govern your use of the ReedyFlex website (reedyflex.site) and the design services provided by ReedyFlex Studio ("ReedyFlex", "we", "us"). By accessing our site or engaging our services, you agree to these Terms.

If you are engaging us under a separate signed Statement of Work (SoW), that SoW takes precedence over these Terms for anything it specifically addresses.

01 · Engaging our services

A design engagement begins when:

• We have confirmed scope, deliverables, timeline, and fee in writing (typically via email or a signed SoW).
• You have accepted the terms in writing (reply confirming acceptance is sufficient).
• The deposit invoice has been paid in full.

Without all three, no engagement exists — however preliminary conversations we may have had.

02 · Fees, invoicing, and taxes

Our published starting fees apply to the scope as listed for each service package. Custom scopes are quoted in writing before work begins.

• Payment structure: 50% deposit on engagement, 50% on delivery (or as specified in the SoW for larger projects).
• Tax: 18% GST applies to all invoices raised to Indian clients. Export invoices (international clients) are zero-rated.
• Payment methods: UPI, NEFT / IMPS, Razorpay, or international bank transfer.
• Overdue payments: Invoices 14 days past due accrue interest at 1% per month. Work is paused for accounts over 30 days past due.

03 · Scope, revisions, and change orders

Each engagement includes a defined scope with a specified number of refinement rounds (see individual service pages). Additional work is handled as follows:

• Additional revisions: Billed at ₹2,500 per hour, with estimate and cap shared before work begins.
• Scope additions: Handled via a written change order specifying new deliverables, revised fee, and adjusted timeline. Work on additions begins only after you approve the change order.
• Rush timelines: Where we can accommodate compressed timelines, a 25% rush surcharge applies. Not always available.

04 · Intellectual property & ownership

Intellectual property transfer follows these rules:

• Final approved deliverables: Ownership transfers to you upon full payment. You receive full commercial rights in perpetuity, worldwide, across all media.
• Preliminary concepts & working files: Not selected as the final direction remain the property of ReedyFlex. Source working files (native design files beyond what's delivered) stay with the studio unless otherwise agreed in the SoW.
• Third-party assets: Typefaces, stock imagery, or licensed elements carry their own licenses. We'll note these clearly in your delivery and estimate any licensing costs upfront.
• Portfolio rights: We reserve the right to display completed work in our portfolio and on social media unless you specifically request otherwise in writing at engagement start.

05 · Client responsibilities

Good projects are genuinely collaborative. We expect:

• Timely feedback on concepts and revisions (within 3 business days, unless otherwise agreed).
• Clear, consolidated feedback — ideally in writing — rather than shifting verbal input.
• A single decision-maker or point of contact. If multiple stakeholders need to weigh in, we ask that they align internally before sharing feedback with us.
• Access to the information we need — business details, audience context, existing assets — within the first three days of kickoff.
• Honest use of our work. Final deliverables are for the client and business scope specified in the SoW; use beyond that scope may require a separate licensing discussion.

06 · Timelines

Published timelines for each service package are typical, not guaranteed. Actual timelines depend on:

• Feedback turnaround at each review stage
• Scope additions or significant direction changes mid-project
• External factors (printer lead times, third-party approvals)
• Force majeure events (see section 10)

We communicate clearly if timelines shift and commit to reasonable efforts to meet them. Any timeline commitment in the SoW takes precedence over the indicative ranges on our website.

07 · Cancellation & refunds

Cancellation terms are detailed in our Refund & Cancellation Policy. In brief:

• Before any concept work is shared: full deposit refund, minus processing fees.
• After concepts are shared: deposit is non-refundable but covers work completed.
• After final files delivered: project is complete; fees are non-refundable.

08 · Confidentiality

We treat all non-public information shared by you during the engagement as confidential. This includes business plans, financial details, product strategy, and anything marked confidential in your communication. We do not share this information with third parties, except as required by law or with your explicit consent.

Under mutual NDA requests, we're happy to sign standard non-disclosure agreements before engagement — email us to request.

09 · No warranty on business outcomes

We are a design studio, not a growth agency. We cannot and do not guarantee specific business outcomes from identity work alone — including but not limited to: revenue, customer acquisition, market share, social media growth, or brand recognition. A well-considered identity is a foundation that supports other efforts; it is not a standalone growth lever.

Any testimonials, case studies, or outcomes described on our website represent specific client experiences and are not representative of results we can promise for any new engagement.

10 · Force majeure

Neither party is liable for delays or failure to perform due to events beyond reasonable control: natural disasters, power or internet outages, government actions, strikes, or public health emergencies. Affected timelines are extended by the duration of such events, and both parties cooperate in good faith to minimise impact.

11 · Limitation of liability

Our maximum liability to you under any engagement is capped at the total fees paid by you to us under that specific engagement in the preceding 12 months. We are not liable for indirect, consequential, incidental, or punitive damages of any kind.

12 · Governing law & dispute resolution

These Terms are governed by the laws of India. Any dispute arising will first be addressed through good-faith discussion for 30 days. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.

13 · Changes to these Terms

We may update these Terms from time to time. The version in effect at the time your engagement begins governs that engagement — not any later updates. For general website use, the most recently posted version applies.
